3. Eligibility

6. Advisor Engagements

6.1 Independent Contractors

Advisors in our network are independent contractors, not employees of Strategic Factor. Engagements between companies and advisors facilitated through Strategic Factor are governed by separate agreements between those parties.

6.2 Strategic Factor's Role

Strategic Factor acts as a facilitator in connecting companies with advisors. Unless otherwise specified in a separate written agreement:

  • Strategic Factor is not a party to advisor engagement agreements
  • Strategic Factor does not control the work performed by advisors
  • Strategic Factor is not responsible for the quality, accuracy, or timeliness of advisor work product
  • Strategic Factor does not guarantee the availability of any specific advisor

6.3 Fees and Payment

Fees for advisor engagements are determined between the company and advisor, with Strategic Factor's role and any applicable fees specified in separate agreements. Payment terms and conditions are set forth in those agreements.

7. User Content

If you submit content to us (including but not limited to inquiries, applications, feedback, or other communications), you grant Strategic Factor a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.

You represent and warrant that you own or control all rights in any content you submit and that such content does not violate these Terms or any applicable law.

8. Privacy

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim against Strategic Factor, you agree to try to resolve the dispute informally by contacting us. We will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or Strategic Factor may bring a formal proceeding.

13.2 Arbitration

Any dispute arising from or relating to these Terms or our Services shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

13.3 Class Action Waiver

YOU AND STRATEGIC FACTOR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in New York, New York.

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last updated" date at the top of these Terms and, where appropriate, provide additional notice (such as adding a statement to our homepage or sending you an email notification).

Your continued use of the Website or Services after any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you should discontinue your use of the Website and Services.

16. Termination

Any attempt by you to assign or transfer these Terms without such consent will be null and void. Strategic Factor may assign or transfer these Terms, at its sole discretion, without restriction.
